Tom has given a thumbs up and we can call this little project the Official NewGrounds ReFill volume 1

I'm working with the people at Propellerhead Software to make this available through their downloads section to all of the registered Reason users.

I will be accepting patches for this ReFill through the end of this month - after that we're gonna get it posted.

After the end of the month we'll start on Volume 2 if we want to continue down this road.

It is extremely important that your patches be in order and that they NOT rely on any other third party ReFill in any way.

I'll be packaging everything up and you will each get access to it to make sure that it's all in order. We'll fix any errors if needed, properly credit everyone, finalize it and put it to bed.

OK Guys - I've gotten the contract from Propellerhead and I'm posting it here because I want all of you to have an opportunity to read it. There's nothing crazy in it but if you don't or can't agree with what it says then you'll need to let me know as soon as possible and I will remove your patches from the ReFill.

Basically, it says that the ReFill will be distributed FREELY and that there will be no compensation in any way to any of us. It also goes on to say that we're liable if we've infringed on anyone else's rights.

What this means is that I may need to send each of you an email with a hold harmless agreement or an affidavit that says that the patches you've made aren't stolen from somewhere else.

The problem with it is that seeing as how this is an anonymous board, a user name wouldn't cut it... I really don't want to get into personal info here and I would never demand it from any of you so ... well... I'm not sure how I want to handle it yet.

One of two things must happen for this ReFill to made available through Propellerhead,

1. All of us would have to sign and return individual contracts and we would each be responsible for our own submissions.

or

2. I'll have to sign it and that would make ME personally liable if any of you infringed on the rights of others (used someone else's patches)

Either way - have a look at this and let me know if any of it poses a problem for any of you.

Background
Propellerhead is active in the field of music and audio software and is the creator of i.e. Reason.

The Licensor is engaged in sound development. The Licensor holds the rights to several digital sounds such as recordings, patches, samples, synthetic sounds etc.

The parties have agreed that Propellerhead shall make digital sounds available, created by the Licensor, free of charge to registered users of Reason on Propellerheads Website.

License Object and Delivery
The license object is the digital sound………………………………., hereinafter referred to as the ”ReFill".

Granting of Rights
Licensor grants to Propellerhead a non-exclusive, world-wide license to include or incorporate the ReFills or patches and make them available for downloading free of charge on the Propellerhead website. The grant is perpetual and not limited in time.

License Fee
Licensor’s grant of license to Propellerhead is free of charge and no royalty or other payments shall be made by Propellerhead to Licensor for the above use of the License Object.

Infringement of Third Party Rights
The Licensor hereby warrants that the ReFills can be freely used by all the users that download the ReFills in accordance with this agreement and that they are not encumbered by and do not infringe upon the right held by any third party.

The Licensor undertakes to compensate Propellerhead for any compensation or damages which Propellerhead through settlement or judgment is obliged to pay for infringement of an intellectual property right arising from Propellerhead's use of the ReFills as mentioned above.

In the event of a claim of infringement, the Licensor shall at his own expense take over the dispute and pursue legal proceedings on behalf of Propellerhead.

In addition to sums which Propellerhead is obliged to pay to a third party, Propellerhead is also entitled to compensation for any other loss arising from the intellectual property law infringement.

Term of the Agreement
This agreement shall be perpetual and not be limited in time.

Amendments
Amendments or supplements to this Agreement shall be laid down in writing.

Disputes and Governing Law
This Agreement shall be governed, construed, and interpreted in accordance with the laws of Sweden. The place of jurisdiction is Stockholm.
