This is basically the spoilers from the Spider-Man 3 novelization which is already out. It's all of it in a nut shell.

OPENING

The movie probably begins with Peter looking at how much times have changed since the previous film. Spider-Man is now considered a hero by all. He is the symbol of peace, justice, and hope in New York City.

MANHATTAN MEMMORIES

The story begins at the play Manhattan Memories. These are the shots of MJ on a stage of stars and Harry watching from the balcony.

Peter is in the first row seat. After the play, Peter spots Harry (who is in a rush to get out) and follows him to his limo. Peter insists that he needs to talk to him, that he needs to know what’s happened.

PETER
Don’t keep locking me out! You need to hear the truth.

HARRY
Tell it to my father… raise him from the dead.

PETER
I’m your friend, you’re father was my friend!

The limo drives off.

Peter goes in to see Mary Jane, who is still on good terms with Harry, and congradulates her on the play. MJ suggests that they should “celebrate.”

WATCHING THE METEOR SHOWER

They ride (bike) to the park and watch a meteor shower, during which the meteor crash lands to Earth. Peter guesses that the meteors may have been from Mars.

MARY
Where do they all come from?

PETER
Maybe Mars, a hundred million years ago.

The symbiote, which is described a black oil-like goo, breaks free from the meteorite and senses Peter.

More or less, the symbiote CHOOSES Peter and this is made clear through it’s actions. As Peter and MJ are going, the symbiote sticks to his shoe. The image that came to mind when reading this part is the beginning of Men in Black II- how they seemed to give that plant life in the way that it crawled through the setting of the park. But, this time life is given to the symbiote.

AVENGE MY DEATH!

The following scene shows Harry going through more signs of depression. He is angry and he often gives into his anger. For example, Bernard brings Harry some milk and Harry yells at him saying “I’m not thirsty” as pushes the milk violently away. Harry grasps his skull, he’s having severe headaches. He finally sees his father’s reflection and Norman tells Harry that it is time to avenge his death. Harry agrees.

ESCAPE FROM THE LAW FOR A LITTLE FAMILY TIME

Flint Marko runs through a deserted street and comes across his low-rent apartment.

He enters via the alleyway side window and creeps into his daughter’s bedroom. His daughter’s name is Penny. He kisses his daughter on the head and places several of the letters that he tried to send (and were refused) under her pillows. He goes and gets the classic black and green Sandman sweatshirt and goes into the kitchen.

Here he encounters his wife, Emma. Emma is mad at Flint for coming- she is PISSED! Flint doesn’t dare take action against his wife, he just stands there and takes it all in. Penny eventually enters the kitchen and embraces her father and hands him a locket. He takes it as he has a peaceful moment with his daughter. This is soon broken by Emma’s yells at Flint to “go!” Hearing another siren approaching, Flint exits via the kitchen window.

INTERESTING NOTE: Flint is a very emotional character. He tends to cry. When he leaves we see tears in his eyes. But, as Sandman- there are no more tears due to the transformation. We never actually see him cry- Emma says it and we see tears in his eyes as he leaves.

THE GAS CHAMBER

Harry goes into the green gas chamber. Suffice to say it details that he exits and breaks into a CACKLING maniacal laughter. Think the original Green Goblin laugh.

NOTE: This is the scene from the trailers…

”I’M GOING TO ASK MJ TO MARY ME!”

Peter goes to visit Aunt May in her new apartment. Aunt May tells Peter that he has to make sure that it is the right thing to do- that he shouldn’t rush into it- that there is more to a marriage than love. He needs “security” – such as having a steady life and job. This then leads into May telling Peter that a man must put his wife before himself and then May’s speech about Ben’s proposal ending on “give her this.” Peter leaves Aunt May’s.

AIR BATTLE BETWEEN OLD FRIENDS

The next scene that follows is the Peter vs. GG II battle.

Peter rushes Harry to a hospital. Note- the fight scene takes place in China Town!

THE HOSPITAL

After some scenes at the hospital- Peter saying that it was a “hit and run” and seeing the doctors working on Harry we go to-

BECOMING A SANDMAN

Flint running away from the police.

QUEST (!!!- FIRST FILM- !!!) and the “demoleculization chamber.” Flint running into the room, the scientists ( can’t see inside) think it’s just a bird and give no second thought about it. The transformation begins. Flint becomes Sand. Before this is complete- he throws the locket to the side. Police arrive, they tell the scientists to shut the experiments down- Flint is no where to be seen!

AMNESIA

Harry is at the hospital. He has amnesia. This is a very emotional scene. Harry remembers that Peter is his friend and he slowly remembers that his father has died. MJ enters the hospital room. The three of them are together for a nice brief moment before Peter and MJ are ushered out by a nurse. When gone, we overhear Harry saying “My best friends- I’d give my life for them.” Which is great foreshadowing for the ending to come-

THE SANDMAN

Back in the chamber, the sand takes form and slowly becomes Flint. Flint learns how to control his body and slowly begins to walk. He leaves the area undetected. He does this through his attempt to reach at the locket, eventually he learns to materialize his hands and he attains the locket.

This is all I will post. You CAN look for the other postings of the entire book/movie in the topic if you really want to. I won't really do it unless people request it. I figure giving you the start of the movie isn't too much of a spolier.

PARTII:

A BAD REVIEW

Mary Jane goes to Peter’s apartment. The review is in. And it’s a bad one! Peter tries to cheer her up, but nothing is working. The hardest part about it is that it makes her abusive father “right”- their conversation is cut short by a police radio and sirens. Peter looks at Mary Jane, wondering what he should do. He asks, “go get em’ tiger?” Mary Jane nods, Peter dons the Spidey uniform and out he goes.

Mary Jane sees Peter’s shoes attempts to clean them and gives up throwing the shoes into the corner. A electric static sounds off in the radio- interference with the symbiote. The symbiote quickly moves for the closet door.

On MJ’s way out she comes upon Ursula. Mary Jane is not in the mood. Eventually Ursula says something about singers and nicely asks Mary Jane, “can you sing?” “I don’t know.”

CONSTRUCTION SITE

A crane is going crazy!

Gwen is inside in a model shoot. The crane tears through and this is where the material becomes dark comedy GOLD! So good that I had to type it- god, I hope Raimi sticks to the humor here:

Everything that wasn’t bolted down slid past Gwen and out. Clinging wildly, she heard a tiny voice coming through the phone receiver.

“Hello! Hello?!” she screamed.

The voice on the phone came back at her with sunny cheerfulness that didn’t exactly match the moment. “You’ve got the rockin’ sound of WKRQ! If you can name our last two ‘Two for Tuesday’ songs, you could be our grand-prize winner!”

“Help! I can’t hold on!” she shrieked at the receiver.

“Right you are!” chirped the DJ. “’Help’ and ‘I can’t hold on;! Pack your bags, cause you’re going for a trip!”

With remarkable, if morbid, sense of comic timing the telephone cord chose that moment to give up... It snapped, and Gwen continued toward the window… she slid right out the window but, at the last second, snagged a jutting piece of steel window frame.”

George Stacy looks up towards the hanging Gwen. Eddie exits a Taxi and prepares to take some pictures

He wants the person to fall- and then he says- “oh my god, it’ Gwen!” But, soon afterwards he also wants her to fall because of the glory of the moment captured on camera. George comes towards him, asks him who he is- Eddie tells him that he’s seeing his daughter and that he’s heard so much about him. Matter of factly, George tells Eddie he never heard of him. George looks up through the viewfinder of the camera.

Eddie continues to take pictures. Spider-Man saves the day. He places Gwen down. Eddie says, “Beautiful! Pulitzer prize! Wait until you see that shot, Gwen. The light on your hair was golden.”

Spidey webs the gap, blocking the debris and lands.

Eddie and Spider-Man have their first conversation. “Names Eddie Brock. I’ll be taking shots of you for the Bugle, from now on.”

Spider-Man swings away.

AT THE DAILY BUGLE

Eddie goes to Betty, “betty-betty-bo-betty-betty!” This is that scene. Eventually Eddie makes his way into Jonah’s office.

Eddie is a classic wise-ass, trust me guys you’re going to love this characterization… he just screams classic “Eddie Brock.”

After a couple of jokes over Jameson not understanding Eddie Brocks name and constantly getting it wrong- which I think might be a running gag. Peter enters and comes to face with his competition

Jameson sizes up the photos from the photographers and decides to use Eddies. Eddie flaunts this saying that he knows how to take an “actual” photo… and openly mocks Peter. He then asks Jameson for a job rather than freelance. Jameson considers this. Peter says that’s not fair- he’s been working for Jameson for the longest amount of time. Robbie says that Peter has a point. Jameson asks, “who cares about what I want?!” Comic timing perfect- Hoffman sticks his head into frame “I do.”

Jameson says he knows how he’ll choose. The first person to get him pictures of Spider-Man as the menace that he is gets the job!

Peter and Eddie leave the office. Peter tells Eddie that he’s never going to get that picture, to which Eddie in mad determination says that he will.

IN-HOUSE B-BALL

Peter takes Harry back home. There they laugh and have a fun time playing indoor basketball. They reminisce about old times- talking about girls, high school, sports, the usual. They lose control of the ball and it hits a Ming vase. Harry grabs the ball QUICKLY before it can do any more damage. He’s amazed at how he got so quick. “I still have the moves.” They joke about trying out for the NBA.

FIRED

Mary Jane goes to the next cast meeting to find out that she has been replaced by her understudy. Every review hated her! She runs out, depressed as hell and notices people cheering as Spider-Man swings past the city.

SPIDER-MAN DAY

Peter arrives. He knows Gwen already. Gwen asks for advice on the speech. Peter tells her to keep it simple and walks away.

Eddie Brock approaches her and we can tell by Gwen’s reaction to him that Eddie is more stalker than boyfriend- well, he’s not even her boyfriend. Leaving Eddie, behind she looks- but can’t find Peter in the crowd.

Peter takes some photos of Mary Jane and tells how he’s going to make his grand entrance.

Gwen introduces Spider-Man and the crowd goes wild.

Harry sees MJ, they talk for a while. Mary Jane tells Harry the bad news. He is sympathetic towards her and says that he actually wrote a play for her once while they were dating. He also says something along the lines of, “I’m feeling better than ever before.”

Spider-Man swings in. Spidey and Gwen share an upside down kiss. The crowd loves this! Mary Jane hates this, as tears begin to form in her eyes.

All of a sudden a giant sand storm picks up and disappears.

GWEN
What was that thing?

SPIDER-MAN
I don’t know. But, I’m going to go find out.

The crowd erupts into another grand ovation.

NOTE: Spider-Man day is to present Spidey with the key to the city.

THE SANDMAN COMETH

Sandman goes to rob an armored car. Police men spot him. He hides in a truck filled with sand. He becomes a SANDMONSTER and creates SANDSTORM.

He approaches the armored van and sands his way into it, burying the drivers within.

Spider-Man approaches him. “What sand box did you crawl out of?” They have the fight (punch goes through chest fight)… etc. ADDED INFORMATION: Peter surfs on the door as he avoids obstacles.

Sandman gets onto the top of the armored van with the money. Spider-Man encounters him. A woman is in danger of being hit by the van. Spider-Man saves her by web yanking her up.

He turns his attention away from the sandman and towards the van.

He saves the two drivers inside as he sends the van smashing into the wall. Sand helps his fall. The sandman is gone.

BUGLE HEADLINES:

MAIN HEADLINE: Sandman! Son of a beach! Even Spidey can’t stop him!
SMALL HEADLINE: Give us back the key!

A DISASTEROUS PROPOSAL

Peter decides to propose to MJ at an expensive and fancy French restaurant. He tells the waiter to bring the ring with the wine glass when he signals him over. And to play a song from the play-

MJ is running a little late. Peter can still she that she is stressed, not knowing what the stress is coming from (Mary Jane hasn’t told him that she was replaced) he tells her that she will soon be everywhere because of the play. He relates this back to Spider-Man.

You’re a star in my eyes. You’ll be in everybody’s eyes now. I know what you’re feeling, but you’ll get used to it. Take me: I’m everywhere. I see Spider-Man posters in the windows, kids running around with me on their sweaters. I’m a big Halloween item. I don’t know, I guess I’ve become something of an icon. ‘Spider-Man, Spider-Man.’ They kept screaming it. I mean, c’mon… I’m a nerdy kid from Queens. So, I’m thinking to myself do I deserve this?

Gwen sees Peter and waves. Mary Jane sees Gwen and frowns. Peter waves hello, and has to quickly usher the waiter away (he thought it was a signal to bring the ring). The scene that follows is very tense- it’s a normal every day situation. Gwen is asking Peter about Spider-Man and if she can have a copy of a picture. But, this matters A LOT to Mary Jane. Sensing the awkwardness eventually Gwen walks away.

Peter tries to stress to MJ, that Gwen is only a girl who he’s helped in science class (they are lab partners in Dr. Connor’s class). Mary Jane is not so trusting.

Note: Mary Jane is referring to the Spider-Man and Gwen upside down kiss.

MARY JANE
Why would you do that? You must’ve known how it would make me feel. Do you want to push me away?

PETER
Why would I push you away? I love you. You’re my girlfriend. She’s just a girl in my class, Mary Jane.

MARY JANE
It doesn’t matter. I don’t feel very well. I have to go. I’m sorry.

Mary Jane runs off, almost on the verge of tears just as the violinists begin to play the song.

Peter goes back to his apartment and tries to call MJ- with no luck. The phone rings. Peter is told that new information has been found out about his uncle’s death.

“THIS IS THE MAN WHO KILLED YOUR UNCLE”

This is the scene we’ve seen in the trailers, just without any fancy cutting in it- the scene is played out. The man delivering this news is George Stacy. Peter is FURIOUS that they weren’t notified this earlier- since they had a general idea that Flint Marko was the killer for a long time now…

A CURE

Sandman sneaks into a building via the air ducts. He goes to meet Dr. Ralph Wallace, who he has sent letters to, from prison, regarding his daughter. Penny is very sick and it will take a lot of money to cure her. More than the amount that Flint has in his possession from the robbery. He says that he can get more.

THE LUST FOR REVENGE

After hearing the news, Peter returns home and starts to listen to all of the police radio frequencies coming in. Hoping that one will lead him to Flint Marko.

Mary Jane arrives, but Peter has no time for her. Mary Jane tells Peter, “We all need help sometimes Peter, even Spider-Man. This pride of his, maybe even he’s not perfect.”

Mary Jane leaves and Peter dons his Spider-Man suit and looks out the window, still waiting for a call that never comes. Exhausted he lays down in bed in the Spider-Man suit and is overcome with the symbiote!

GIVE IN TO THE DARK SIDE

Black Spider-Man wakes up upside down and stares at his reflection in the mirror. He flexes his muscles and begins to test the limits of his power. I think, but I’m not completely sure that in the final draft the lines (since they are very similar have been changed to: “this suit… where’d this come from? This power, it feels good. You could lose yourself to it.”)

Spidey-sense has evolved! Remember how in the comics spidey-sense could sometimes act as a compass-like device as well? Well, that comes into play here. Spider-Man looks over the city and is able to sense where Flint Marko is.

Eddie Brock arrives on the scene of a robbery that Flint Marko has just committed. He asks Sandman for a picture, but he is ignored. Sandman sands his way into the subway system below.

Spider-Man jumps down from above.

“Wo, Spidey, love the new outfit.”

Spider-Man yanks his camera away and says, “new look, new attitude.” Before entering the subway systems below.

Part III:

REVENGE

This is a huge epic battle. The fight begins with Spider-Man on the ceiling above Marko, “remember Ben Parker?” “What does it matter to you, anyway?!” “Everything!” After this Peter quickly unmasks himself in front of Marko! Marko understands- This launches into an amazing fight sequence that consists of multiple subway cars. Eventually the Sandman gains the upperhand and begins to bury Spider-Man in sand. Spidey punches out of the sand and fires a web line out and water rushes towards them. This is the scene from the trailer. What the trailer doesn’t show is that Sandman completely dissipates and becomes something similar to mud.

SECOND THOUGHTS

Returning to the apartment. Ditcovitch yells at Peter, “rent!” Peter yells at him and says that he won’t pay the rent until Ditcovitch fixes the place up. He gets frustrated with his apartment door and forces it open.

Inside Peter begins to have second thoughts about what he’s doing. He looks at himself in the mirror and sees a flash of Venom-Spidey.

He begins to comb his hair in the fashion that we have come to relate to his new personality change. Peter knows what this is doing to him so he STRUGGLES to yank the suit off! Eventually he takes the suit off and throws it into a cabinet. He sits on his bed as he looks at it, struggling not to put it back on- imagine a junkie trying to stay “clean.”

REVENGE IS LIKE A POISON

May calls Peter and Peter comes over. There, Peter details the Sandman’s death. Aunt May is shocked by this stating that Spider-Man isn’t a killer. Peter is surprised that Aunt May didn’t find relief over Markos death. This is when May tells him, “Ben meant everything to us, but he wouldn’t want us living one second of our lives with revenge in our hearts. It’s like a poison. A venom. It can take us over. Before you know it, it can turn you into something ugly.”

SEEKING HELP

Peter finds the source of the symbiote, takes a sample and brings it to Dr. Connors. Dr. Connors brings up the upside down kiss between Spider-Man and Gwen, suggesting that there might be something there- Peter denies that there is, but he can see where he’s coming from….

HURTING FOR HARRY

Mary Jane, feeling alone, calls up Harry and asks if she can come over. Harry says that he would be pleased.

After MJ hangs up, Norman appears to Harry again. Harry now remembers everything, he stands up to his father and refuses to kill Peter saying that he is his friend. Norman tells him that they (Peter and MJ) aren’t his friends, their his enemies.

Mary Jane arrives. Harry and MJ have a very nice romantic evening that eventually leads into a kiss. Feeling guilty, Mary Jane says that she must go. Harry is angry over this and asks if this is about Peter. Mary Jane leaves, despite Harry’s insistence that she has to stay.

Norman appears to Harry, saying “there, there… come to me son, come to me.”

Mary Jane arrives in her apartment there is a message from Peter, but phone line had been cut dead before the message could be finished. She senses the someone in the room and finally the New Goblin comes out and grabs her, “Since you love him… I think you should call him back… and do just as I say… or Peter Parker will die!”

BACK IN BLACK

Peter is called by Mary Jane who asks him to meet her in the park. Peter goes to see her, and she tells him that she doesn’t think it’s working between them and that she is seeing somebody. Mary Jane turns to walk away, Peter thinks about following her but doesn’t act upon it. Harry watches from afar, clapping his hands as Mary Jane comes back- “bravo.”

Peter is in his apartment and finally gives into his anger, he puts the black suit on and exits his apartment.

Peter struts through the street with a new air of confidence, this is the video clip that we all saw:

"The Walk" montage

He soon overhears people talking about Spider-Man he listens closer to discover that they are angry at him. Peter notices a newspaper headline reading: SPIDER-MAN, THIEF! SPIDEY SHOWS HIS TRUE COLORS. Peter knows that it’s a fake and decides that it’s time to get revenge- on Eddie Brock.

THE RISE AND FALL OF EDDIE BROCK

Eddie is in the Daily Bugle living it up. He’s a star and he just got hired at the Daily Bugle.

Peter enters the Bugle, FURIOUS. Brock flaunts his new position at the Bugle which angers Peter. Peter says that he has proof that Eddie photoshopped the images using a previous photo that he (Peter) took. This leads to Peter smashing Eddie up against the glass frame of his article.

Betty and Robbie come over due to the disturbance. Peter hands Robbie the incriminating evidence and tells him to show it to his editor.

Jameson is furious and tells Eddie that he’s fired and that the Bugle will need to publicly apologize for Brock’s actions.

Eddie, feeling his life torn down around him, goes to see Gwen (at her home) who wants nothing to do with him. This is a sad, pitiful, sick, and frightening sight- because Eddie seems to have gone slightly insane. Finally George steps out of the house and tells Eddie to go home.

Peter takes off the symbiote shirt in his apartment.

Mud rises from the water and becomes Sandman.

Eddie Brock is in a bar getting drunk, repeating Gwen’s and Peter’s name over and over again.

A DEFORMED GOBLIN

Harry invites Peter to a small diner. Peter meets him there and tells him all about Mary Jane and how she’s seeing another guy. Harry motions to Peter that he’s the other guy.

Peter is caught off guard about this and he leaves the diner.

Outside of the diner Peter looks back at Harry, not fully buying it, to see his old best friend sadistically grinning just like the previous Green Goblin.

A while later. At Harry’s mansion, Peter appears in the black Spider-Man costume. A "huge" battle ensues that I can only describe as the Spider-Man 1 final battle but inside of a house. When Spidey gets the upper hand he begins to psychologically torture Harry telling him that no one can ever love him and that his own father didn’t even love him! In context this is really scary coming from Peter- earlier he would have tried to help Harry. But, this time he’s pushing out the Goblin within.

Harry tosses a pumpkin bomb and Spidey throws it back at him. The bomb explodes in his face as Peter walks away. Harry is now deformed and wants his revenge.

On the opposite rooftops Peter listens and shrugs it off as he nonchalantly walks away-

POWER

Dr. Connors tells Peter that the symbiote is a living organism. This is the scene in the ‘Venom-Sneak Preview/ Trailer.’

Peter hands Jameson a photo of black suit Spidey saving the day and JJ asks how much- Peter says that he wants more money than anyone who he has ever hired!

Part IV:

THE JAZZ CLUB

Peter goes to ask Gwen out on a date to the Jazz Club (where earlier, Mary Jane had recently got a job at).

How this whole thing goes down is difficult to describe, because it’s many things wrapped into one- the basic premise is that Peter wants to humiliate MJ. He does this through stealing her spotlight by playing on a piano and then by dancing and coming close to kissing Gwen.

After all of this Gwen storms away, realizing that she’s being used, and Peter is encountered by the manager. Here it’s clear that Peter is a wise ass. Soon he starts beating up everyone in the Jazz Club while Mary Jane yells at him to stop. This leads into Peter violently shoving Mary Jane away.

Peter is stunned that he did this, MJ says that it’s the black suit. Peter has also come to this realization and quickly runs off before he can cause any more trouble.

The tone of this is the difficult thing to describe. The best way to describe it is to think of mixing the following elements together:

1. Symbiote Spider-Man/ Symbiote Peter (as seen in Spider-Man TAS)
2. Red K Clark on ‘Smallville’
3. A Tex Avery Cartoon

By Tex Avery one of the movements that comes to mind is Peter flipping back from the dance floor and landing on the piano with one hand. From there he manages to play the piano with his other hand!

Peter is a great Piano player and part of this is due to the symbiote suit (note: we see Peter playing the piano earlier at Aunt May’s when he tells her that he’s going to ask Mary Jane to marry him. Peter was a terrible piano player.)

TRANSFERENCE

Peter goes to the cathedral to rid of the symbiote.

Eddie goes to pray to God:

The church bell rings. The symbiote weakens. Peter pulls it off and the symbiote drips down onto Brock and he becomes Venom.

Peter quickly puts back on his clothes and swings out the window.

Peter goes back to his apartment and takes a shower. Eddie follows Peter to his apartment and finds a photograph of Mary Jane. He leaves the apartment... and the battle begins!

Meh, still where's the other bad guy? Rumors have been flying around for the longest time of Bruce Campbell playing Mysterio as an easily beaten foe of Spidey's as an opening light hearted joke at the begining of the movie.

Also SPOILERS and all, you can see what direction it's going in already. Venom kills Sandman, Venom beats Spidey, Goblin beats Venom and dies saving Spidey. I'm only assuming this because Sandman does nearly get killed in the comic by a bite from Venom and Harry does die saving Peter in the comics as well.

DEATH OF VENOM

I'm going to put this here because it was accidently ommited there.

Spider-Man makes a makeshift sound device as Venom tries to impale him with this large spike thing. As Spider-Man makes him weak Venom loses his footing and Spider-Man takes this to his advantage to ram the spike and try to wound Eddie. It does and impales him. The black goo begins to slip away and Spider-Man begins to what is left.

The symbiote has left nothing. It took everything that was Eddie Brock and left only a pure white skeleton. Everything that was Eddie Brock was now gone. Suddenly the goo begins to form again into a human like form. The symbiote has become an entity on its own and is trying to take over Spider-Man again.

Symbiote
"Never wound what you cannot kill."

Spider-Man uses the sound again and kills the symbiote as it fades into a black smoke.
